Article 1 - Purpose of the Association:
Section 1 The purpose of this nonprofit, nonpartisan organization shall be to promote, preserve, and improve the neighborhood and the community.
Section 2 The name of this organization shall be the University Hill (amended October 17, 2006) Neighborhood Association, hereinafter referred to as the Association.
Article 2 - Membership:
Section 1 Ultimate authority for the direction of the Association shall be vested in its general membership meetings.
Section 2 Any adult (18 years or older), permanently residing or owning property within the designated boundaries, is eligible for membership in the Association. To become a member, eligible persons must have their name entered onto the membership rolls of the Association by contacting the Association Secretary prior to any scheduled general membership meeting and must be current in any dues payment, if applicable.
Section 3 The boundaries of the University neighborhood community shall extend, starting at Bull Street, east on Gervais Street to the Norfolk and Southern railroad tracks, south to Blossom Street, west to Pickens Street, north to Pendleton Street, west to Bull Street, and north to Gervais Street.
Section 4 Only members who are present at meetings shall be entitled to vote. There shall be no proxy voting. Each member shall have one vote, and no member shall have more than one vote. All actions of the Association must be adopted by a majority vote of the members present and voting.
Section 5 A majority vote of members attending a semi-annual membership meeting (Article 3, Section 1) is required to implement or change dues assessments.
Article 3 - Membership Meetings:
Section 1 General membership meetings shall be held on the second Tuesday of April and October of each year (amended May 13, 2003).
Section 2 Additional general membership meetings shall be called by the President when the Executive Council deems such meetings necessary, or when presented with a request for such a meeting signed by 20 members of the Association. At least one week’s advance notice shall be given prior to any general membership meeting held under the provisions of this Section.
Section 3 All registered members shall be notified of membership meetings in advance. Public notice of membership meetings shall be provided in advance.
Article 4 - Officers:
Section 1 The officers of the Association, listed below, shall be elected by a majority vote of the Association members present and voting at the general membership meeting held in October (amended May 13, 2003) of even numbered years.
Section 2 The President: It shall be the duty of the President to preside over all general membership and Executive Council meetings, to represent the organization on public occasions, and to make such appointments (including the chairpersons of committees) as she/he shall deem advisable for the effective conduct of the work of the organization.
Section 3 The Vice-President: It shall be the duty of the Vice-President to assist the President as the latter requests, to represent the organization on appropriate public occasions, and to fulfill the duties of the President if she/he is unable to do so.
Section 4 The Secretary: It shall be the duty of the Secretary to record the proceedings of all general membership and Executive Council meetings, to maintain adequate records of the organization’s activities, to conduct such official correspondence as shall be required, to provide a sign-in roster for all meetings, and to keep a record of this list. The Secretary will provide a copy of the minutes to those members requesting copies of the minutes.
Section 5 The Treasurer: It shall be the duty of the Treasurer to safeguard, disburse, and make reports of funds obtained when called upon and to collect and record dues.
Article 5 - Executive Council:
Section 1 The Executive Council of the Association shall consist of the officers listed above in Article 4 and five additional members who shall be elected by a majority vote of the Association members present and voting at the general membership meeting held in October (amended May 13, 2003) of odd numbered years, and for the term immediately succeeding his or her term, the immediate past President (amended October 17, 2006). The term of office shall be two years, and members of the Executive Council may be reelected for additional terms. Any vacancy on the Executive Council shall be filled by a majority vote of the Association members present and voting at the next general membership meeting following the notice of the vacancy (amended October 17, 2006).
Section 2 A quorum shall consist of five members of the Executive Council, and all action shall be taken by a majority of those present at any duly noticed meeting (amended October 17, 2006). The Executive Council may appoint committees as it deems necessary to address issues of concern to the Association and its membership.
Section 3 All minutes of Executive Council meetings shall be made available to any person requesting them. Copies of the minutes of all Executive Council meeting shall be available at the semi-annual general membership meetings.
Article 6 - Accountability of Funds:
Section 1 No expenditure of funds shall be authorized except on the approval of a majority of the Executive council or a majority vote of the Association members present and voting at a general membership meeting.. Expenditures over fifty dollars require written approval from the Executive Council.
Section 2 A complete report of receipts and disbursements shall be made by the Treasurer at each general membership meeting.
Article 7 - Amendment:
Section 1 These By-Laws may be amended by a majority vote of any general membership meeting, provided notice of such amendment shall be given to members of the Executive Council one month prior to voting on such a change.
Article 8 - Implementation:
Section 1 These By-Laws supersede any previous by-laws or legal document adopted by the University Neighborhood Association.
Section 2 The first election of Executive Council members under these By-Laws shall be held in November, 1998. Persons thus elected shall serve until the elections to be held in November, 1999. Pending elections in November, 1998, current officers shall serve in their positions until that date.
