WAVERLY NEIGHBORHOOD IMPROVEMENT AND PROTECTION ASSOCIATION
BY-LAWS
ARTICLE I - Name of Organization
The name of the organization shall be "The Waverly Neighborhood Improvement and Protection Association," hereafter abbreviated as WNIPA.
ARTICLE II - Statement of Purpose
The WNIPA, a community-based initiative design d to improve living conditions and the overall standard of living in one of the city's oldest communities, is committed to work with community resource groups and individuals to reenergize cultural, physical, and economic activity in the Historic Waverly area and to reduce the crime rate and restore a sense of place and community to its residents.
ARTICLE III - Policy
The WNIPA is a nonpartisan, nonprofit and non-sectarian organization.
ARTICLE IV - Membership
A. WNIPA membership categories include "Full Membership", "Associate Membership", and "Honorary Membership".
B. Full Membership in WNIPA shall be open to any homeowner or renter in the Historic Waverly neighborhood. Full members shall be eligible for rights including, but not limited to, voting at WNIPA meetings and making use of WNIPA resources and the Lady Street KOBAN.
C. Associate Membership in WNIPA shall be open to representatives of the churches, schools, and other viable businesses located in the Historic Waverly neighborhood. Associate members shall be entitled to all the rights of full members except that they are not allowed to vote in their own right.
D. Honorary Membership in WNIPA shall be open to "Elected City Officials" and "Police Officers" not living in the Historic Waverly neighborhood. Honorary members are encouraged to attend and express views at WNIPA meetings, but do not receive any other rights of WNIPA membership.
ARTICLE V - Meetings
A. Regular meetings of WNIPA shall be scheduled for the first Monday in each month, unless the first Monday is a holiday, at which time the meeting will be held the second Monday. There will be no meetings held during July.
B. Regular attendance is required for voting purposes.
C. Dues of $10.00 per year per member or $20.100 per year per family are due by March 31st of each fiscal year, which runs January 1st to December 31st.
D. Special meetings of WNIPA may be called by the President.
E. A quorum shall consist of the voting representatives present.
F. All WNIPA regular and special meetings shall be open to the public.
ARTICLE VI - Voting
Each "Full Member" shall have one vote at all WNIPA meetings.
ARTICLE VII - Officers and Executive Committee
A. The officers of WNIPA shall consist of the President, Vice President, Recording Secretary, Financial Secretary, and Treasurer.
B. The Executive Committee shall consist of the officers and any member who holds an elected or appointed city, county, or state position.
C. Responsibilities of the Executive Committee shall include, but not be limited to establishing such committees as shall be deemed necessary for the operation of WNIPA.
ARTICLE VIII - Election of Officers
A. Election of officers shall be held at the September meeting every two years, except for the office of Treasurer.
B. Officers shall be installed at the end of the September meeting.
C. The office of Treasurer does not change unless deemed necessary by the President or Executive Committee.
D. Voting for officers shall be by hand-vote unless the body calls for a secret vote.
E. If an office becomes vacant between elections, the President has the authority to appoint a replacement.
ARTICLE IX - Duties of Officers
A. The duties of the President shall include:
1. Presiding over all WNIPA and Executive Committee meetings.
2. Representing the neighborhood at different civic functions.
3. Representing the neighborhood at the Columbia Council of Neighborhoods monthly meetings.
4. Speaking for and representing WNIPA to other bodies and the news media, or appointing a spokesperson to do so.
5. Appointing committee members with the advice and consent of the Executive Committee.
B. The duties of the Vice President shall include:
1. Assisting the President in carrying out the President's duties.
2. Acting in the position of the President in the President's absence.
C. The duties of the Recording Secretary shall include:
1. Acting on behalf of the President and the Vice President in their absence.
2. Keeping the minutes of all meetings.
3. Maintaining membership records.
D. The duties of the Financial Secretary shall include:
1. Keeping record of the names of the members who pay dues.
2. Collecting dues from members and turning monies over to the Treasurer.
3. Maintaining accurate financial records.
E. The duties of the Treasurer shall include:
1. Banking all the WNIPA monies.
2. Disbursing funds, with the President, for necessary expenditures.
3. Reporting to the membership of expenditures and bank balances.
4. Providing an Annual Financial Statement.
ARTICLE X - Committees
Standing and Ad Hoc Committees may be established or abolished as deemed necessary by the President or the Executive Committee.

E. Courtesy
ARTICLE XI - Other Operating Procedures
The current edition of Robert's Rules of Order shall govern all procedural items, not covered in the by-laws.
ARTICLE XII - Procedure for Removal of Officers from Office
A. Full Members will be given one (1) month's advance notice of any proposal to remove an officer from their office.
B. Officers can be removed from office by a two-thirds affirmative vote of the Full Membership present.
C. Such removal must be accomplished with good cause, and the officer involved shall be given the opportunity to be present and to be heard at the meeting at which the removal is considered.
ARTICLE XIII - Amendments
A. A unanimous vote of the Executive Committee and a two-thirds vote of the Full Members in good standing at a meeting of the WNIPA may make amendments to the by-laws.
B. A copy of the proposed amendment(s) and the article(s) proposed for change must be distributed to the Full Membership at least two weeks prior to the meeting.
ARTICLE XIV - Dissolution
In the event this organization is dissolved, any monies remaining in the organization will be used for the beautification of the Historic Waverly neighborhood. All other assets will be disposed of at the discretion of the Executive Committee.
Adopted on this 6th day of August 2001 by the Full Members of the Waverly Neighborhood Improvement and Protection Association (WNIPA).
